Terms of Service

TradeMate — Operated by TXTech

Effective Date: May 14, 2026


Please read these Terms of Service ("Terms") carefully before using TradeMate. By accessing or using the TradeMate platform, website, mobile application, or any associated services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.


1. Acceptance of Terms

By creating an account, accessing the Service, or clicking "I Agree," you confirm that you have read, understood, and agree to be bound by these Terms and all documents incorporated by reference, including the TradeMate Privacy Policy, Risk Disclosure, and General Disclaimer. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and TXTech ("Company," "we," "us," or "our"), the operator of TradeMate.

If you are using the Service on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" refers to both the individual and the entity.

We reserve the right to update, modify, or replace these Terms at any time. Continued use of the Service after any change constitutes your acceptance of the revised Terms. We will provide notice of material changes through the Service interface or by email to the address associated with your account.


2. Description of Service

2.1 What TradeMate Is

TradeMate is an AI-powered trading analytics and signal-generation platform that provides users with market analysis, trade signal recommendations, portfolio analytics, and related informational tools. The Service is designed to assist users in conducting their own market research and forming their own independent trading decisions.

2.2 What TradeMate Is Not

TradeMate is not a broker-dealer and is not a registered investment advisor (RIA). TradeMate is not registered with the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), the Commodity Futures Trading Commission (CFTC), or any equivalent regulatory body in any jurisdiction as a broker, dealer, investment advisor, investment company, commodity trading advisor, or in any other regulated financial capacity.

TradeMate does not:

  • Hold, custody, or manage user funds or securities
  • Execute trades on behalf of users
  • Provide personalized investment advice tailored to any individual's specific financial situation, objectives, or risk tolerance
  • Act as a fiduciary to any user

2.3 AI-Generated Signals Are Not Financial Advice

All trade signals, recommendations, market analysis, scores, alerts, and other outputs generated by TradeMate's AI agent systems are provided for informational and educational purposes only. They do not constitute financial advice, investment advice, trading advice, or any other form of professional advice. No signal, recommendation, or analysis provided by TradeMate should be construed as a solicitation or offer to buy or sell any security, financial instrument, or commodity.

You are solely responsible for evaluating any signal or recommendation and for determining whether any trade is appropriate for your individual circumstances. Before making any investment or trading decision, you should consult a licensed financial advisor, broker, or other qualified professional.

2.4 Third-Party Brokerage Integration

The Service may allow you to connect your existing brokerage accounts (such as Interactive Brokers or other supported brokers) via API integration. When you connect a third-party brokerage account, TradeMate may display account information, portfolio data, and other information retrieved from that broker. At no point does TradeMate hold, transfer, or control your funds or securities. All trade execution occurs through your connected broker under your direction. TradeMate's role is solely to provide information and analytical tools.


3. Eligibility

3.1 Age Requirement

You must be at least 18 years of age to use the Service. By using TradeMate, you represent and warrant that you are 18 years of age or older. If you are under 18, you may not use the Service, and any account created by a person under 18 may be immediately terminated.

3.2 Legal Capacity

You represent and warrant that you have the legal capacity to enter into a binding contract and are not prohibited from doing so under the laws of your jurisdiction.

3.3 Prohibited Jurisdictions

You may not use the Service if you are located in, a resident of, or a national of any country or territory subject to comprehensive trade sanctions or embargoes imposed by the United States government, including but not limited to Cuba, Iran, North Korea, Russia (as restricted), Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine. You represent and warrant that you are not on any U.S. government list of prohibited or restricted parties, including the OFAC Specially Designated Nationals list.

You are solely responsible for compliance with all laws, regulations, and rules applicable to you in your jurisdiction regarding the use of trading analytics software and AI-generated financial content.

3.4 Agreement to Terms

By using the Service, you confirm that you meet all eligibility requirements described in this Section 3 and that all information you provide to TradeMate is accurate, current, and complete.


4. User Accounts

4.1 Account Registration

To access most features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information and to keep that information up to date. You are responsible for ensuring that your account information remains accurate at all times.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any API keys associated with your account. You agree to notify us immediately at support@yourtrademate.io if you suspect any unauthorized access to or use of your account.

TradeMate will not be liable for any loss or damage arising from your failure to protect your account credentials. You accept full responsibility for all activities that occur under your account, whether or not authorized by you.

4.3 One Account Per User

Each user may maintain only one active TradeMate account unless otherwise expressly permitted in writing by TXTech. Creating multiple accounts to circumvent subscription limitations, access restrictions, or any other platform rules is prohibited.

4.4 Account Accuracy

You agree not to impersonate any other person or entity, misrepresent your identity or affiliation, or use a username that is offensive, misleading, or that violates the rights of any third party.

4.5 API Keys and Third-Party Integrations

If you provide API keys for third-party brokerages or AI providers (as required by certain subscription tiers), you represent that you have the right to use those keys and that doing so does not violate the terms of service of those third-party providers. You are responsible for the security of any API keys stored within or connected to your TradeMate account.


5. Subscription Tiers

5.1 Available Tiers

TradeMate offers three subscription tiers with the following general feature sets. Specific features, limits, and pricing are described on the TradeMate pricing page at yourtrademate.io/pricing and are incorporated by reference into these Terms. In the event of a conflict between these Terms and the pricing page, the pricing page controls with respect to feature availability, and these Terms control with respect to legal obligations.

5.1.1 Free Tier

The Free tier provides access to:

  • Paper trading simulation environment
  • Limited AI-generated market analysis and signals
  • Basic portfolio analytics and performance tracking
  • Access to community features and educational content

The Free tier does not include live trading integrations or access to the full AI agent suite. Free tier features may be changed, restricted, or discontinued at any time at TradeMate's sole discretion.

5.1.2 Pro Tier

The Pro tier includes everything in the Free tier, plus:

  • Live brokerage account integration (Interactive Brokers and other supported brokers)
  • Bring Your Own Key (BYOK) AI integration — users supply their own AI provider API keys (e.g., OpenAI, Anthropic, or other supported providers) to power advanced AI agent analysis
  • Expanded signal frequency and AI agent access
  • Advanced portfolio analytics, backtesting tools, and performance reports
  • Priority customer support

Users on the Pro tier are responsible for any costs, rate limits, or terms imposed by their chosen AI provider in connection with their BYOK API key.

5.1.3 Elite Tier

The Elite tier includes everything in the Pro tier, plus:

  • AI compute included — no external API key required; TradeMate provides AI processing
  • Access to the full TradeMate AI agent suite, including all specialized market analysis agents
  • Highest signal frequency and lowest latency alerts
  • Advanced risk management tools and portfolio optimization features
  • Dedicated support and priority onboarding
  • Early access to new features

5.2 Billing

All paid subscription fees are processed through Dodo Payments, our third-party payment processor. By subscribing to a paid tier, you authorize TradeMate and Dodo Payments to charge your designated payment method for the applicable subscription fees on a recurring basis (monthly or annual, as selected at checkout).

Subscription fees are charged in advance at the start of each billing cycle. Fees are non-refundable except as expressly stated in Section 5.4 or as required by applicable law.

You are responsible for keeping your payment information current and accurate. Failure to maintain a valid payment method may result in suspension or termination of your subscription.

5.3 Price Changes

TradeMate reserves the right to change subscription prices at any time. We will provide at least 30 days' advance notice of any price change by email to the address associated with your account or through a prominent notice within the Service. Your continued use of the Service after the effective date of a price change constitutes your acceptance of the new price.

5.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting support@yourtrademate.io. Cancellation takes effect at the end of the current billing period; you retain access to paid features through the end of the period for which you have paid.

TradeMate does not issue prorated refunds for partial billing periods except where required by applicable law. If you believe you have been charged in error, contact support@yourtrademate.io within 30 days of the charge.

5.5 Free Trial

TradeMate may offer free trial periods for paid subscription tiers at its discretion. If a free trial is offered, the specific terms, duration, and any applicable limitations will be disclosed at the time of sign-up. At the end of the trial period, your account will automatically be charged the applicable subscription fee unless you cancel before the trial ends.


6. Acceptable Use

6.1 Permitted Uses

You may use TradeMate solely for lawful purposes and in accordance with these Terms. The Service is intended for personal, non-commercial use unless TXTech has expressly authorized commercial use in a separate written agreement.

6.2 Prohibited Conduct

You agree that you will not, and will not attempt to:

6.2.1 Misuse of AI and Platform Systems

  • Use the AI agent systems, signal outputs, or analytical tools to manipulate securities markets, engage in wash trading, layering, spoofing, or any other form of market manipulation prohibited under applicable law
  • Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code, algorithms, models, weights, or underlying architecture of any TradeMate AI system
  • Circumvent any technical measures designed to limit access to features, content, or functionality of the Service
  • Use automated scripts, bots, or other tools to interact with the Service in a manner that exceeds normal human usage patterns or that is not expressly permitted by TradeMate's documented API

6.2.2 Scraping and Data Extraction

  • Scrape, crawl, spider, or otherwise systematically extract data from the Service without express written permission from TXTech
  • Use any data obtained from the Service, including AI-generated signals or market analysis, for the purpose of building a competing product, service, or dataset

6.2.3 Fraudulent and Harmful Activity

  • Use the Service in furtherance of any fraudulent scheme, including Ponzi schemes, pump-and-dump operations, or other securities fraud
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity
  • Transmit any viruses, malware, ransomware, or other malicious code through the Service
  • Attempt to gain unauthorized access to any portion of the Service, including the accounts of other users, backend systems, or administrative interfaces

6.2.4 Unlawful and Abusive Conduct

  • Use the Service in violation of any applicable federal, state, local, or international law or regulation, including securities laws, export control laws, and anti-money-laundering regulations
  • Harass, threaten, defame, or engage in any abusive behavior toward TradeMate staff, other users, or third parties through or in connection with the Service
  • Use the Service in any manner that could damage, disable, overburden, or impair TradeMate's infrastructure or servers

6.3 Compliance with Trading Laws

You are solely responsible for ensuring that your use of TradeMate's signals and analytical tools, and any trading activity you undertake, complies with all applicable laws and regulations, including but not limited to SEC rules, FINRA regulations, insider trading prohibitions, short-selling rules, and any rules imposed by your brokerage.


7. Intellectual Property

7.1 TradeMate's Intellectual Property

The Service, including its software, AI models, agent architectures, source code, user interface, design, graphics, text, data compilations, and all other content and technology (collectively, "TradeMate IP"), is owned by TXTech or its licensors and is protected by applicable intellectual property laws, including copyright, trademark, trade secret, and patent law.

These Terms do not grant you any ownership interest in or to the TradeMate IP. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your own personal use in accordance with these Terms. This license does not include the right to sublicense, resell, reproduce, distribute, publicly display, or create derivative works of any TradeMate IP.

7.2 TradeMate Trademarks

"TradeMate," the TradeMate logo, and any other TradeMate product or service names, slogans, or logos are trademarks of TXTech. You may not use any TradeMate marks without prior written consent from TXTech.

7.3 User Data and Trading Data

You retain all ownership rights to your personal trading data, brokerage account data, portfolio information, and other data that you provide to or generate through the Service ("User Data"). You grant TradeMate a limited, non-exclusive, royalty-free license to access, process, and use your User Data solely for the purpose of providing and improving the Service.

TradeMate will not sell your personal trading data to third parties. TradeMate may use aggregated, de-identified data derived from user activity to improve its AI models, analytics, and platform features. Such aggregated data will not identify you individually.

7.4 Feedback

If you provide TradeMate with suggestions, ideas, improvements, feedback, or other input regarding the Service ("Feedback"), you grant TXTech a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and exploit such Feedback in any manner without restriction or compensation to you.


8. Trading Activity Disclaimer

8.1 User Assumes Full Responsibility

You are solely and entirely responsible for all trading decisions you make and all trades executed through your connected brokerage account. TradeMate provides informational tools and AI-generated signals only. At no point does TradeMate make trading decisions for you, execute trades on your behalf, or manage your portfolio.

8.2 No Guarantee of Accuracy or Profitability

TradeMate makes no representation, warranty, or guarantee that any signal, recommendation, analysis, or other output generated by the Service is accurate, complete, reliable, timely, or suitable for any particular trading strategy or financial objective. AI-generated signals may be incorrect, outdated, or based on flawed analysis. Past performance of any signal, strategy, or market analysis produced by the Service is not indicative of future results.

8.3 Inherent Risks of Trading

Trading financial instruments, including equities, options, futures, forex, and cryptocurrencies, involves substantial risk of loss, including the potential loss of your entire invested capital. You should only trade with capital you can afford to lose. TradeMate urges you to read the TradeMate Risk Disclosure in its entirety before using any live trading features.

8.4 Independent Verification

Before acting on any signal, recommendation, or analysis provided by TradeMate, you should independently verify the information, conduct your own research, and consult a licensed financial professional as appropriate given your individual circumstances.


9. Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TXTECH SOLUTIONS EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, PERFORMANCE, OR TRADE USAGE.

TXTECH SOLUTIONS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. TXTECH SOLUTIONS DOES NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, OR SUITABILITY OF ANY INFORMATION, SIGNALS, OR ANALYSIS PROVIDED THROUGH THE SERVICE.

9.2 Limitation on Types of Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TXTECH SOLUTIONS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, TRADING LOSSES, OR INVESTMENT LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF TXTECH SOLUTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3 Cap on Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TXTECH SOLUTIONS'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE — WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY — WILL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO TXTECH SOLUTIONS DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE DATE ON WHICH THE CLAIM AROSE.

9.4 Trading Losses

TXTECH SOLUTIONS SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY TRADING LOSSES, INVESTMENT LOSSES, MISSED OPPORTUNITIES, OR ANY OTHER FINANCIAL LOSSES YOU MAY INCUR AS A RESULT OF USING OR RELYING ON ANY SIGNAL, RECOMMENDATION, ANALYSIS, OR OTHER OUTPUT PROVIDED BY THE SERVICE. ALL SUCH LOSSES ARE SOLELY YOUR RESPONSIBILITY.

9.5 Basis of the Bargain

YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK AND ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN TXTECH SOLUTIONS AND YOU. TXTECH SOLUTIONS WOULD NOT PROVIDE THE SERVICE WITHOUT THESE LIMITATIONS.

9.6 Applicability

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for consequential or incidental damages. To the extent such jurisdictions apply to you, some of the above limitations may not apply. In such cases, TradeMate's liability will be limited to the maximum extent permitted by applicable law.


10. Indemnification

You agree to defend, indemnify, and hold harmless TXTech and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  1. Your violation of these Terms or any document incorporated herein by reference
  2. Your use of the Service, including any trading activity undertaken using information or signals from TradeMate
  3. Your User Data or any content you submit, post, transmit, or otherwise make available through the Service
  4. Your violation of any applicable law, regulation, or the rights of any third party
  5. Any unauthorized access to or use of the Service through your account or credentials

TXTech reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with TradeMate in asserting any available defenses.


11. Termination

11.1 Termination by TradeMate

TXTech may suspend, restrict, or terminate your account and access to the Service at any time, with or without notice, if:

  • You violate any provision of these Terms or any policy incorporated herein
  • We reasonably believe your use of the Service poses a risk of harm to TradeMate, other users, or third parties
  • You engage in fraudulent, abusive, or illegal conduct in connection with the Service
  • We are required to do so by applicable law or a government authority
  • You fail to pay applicable subscription fees and do not cure such failure within 10 days of notice

In cases of serious violations — including but not limited to market manipulation, securities fraud, or unauthorized access to TradeMate systems — we may terminate your account immediately and without prior notice.

11.2 Termination by You

You may terminate your account at any time by contacting support@yourtrademate.io or through your account settings. Termination of your account will take effect at the end of your current billing cycle. No refunds will be issued for the remaining period unless required by applicable law.

11.3 Effect of Termination

Upon termination of your account for any reason:

  • Your license to use the Service will immediately cease
  • You will lose access to all account data, trading history, AI-generated content, and other data associated with your account
  • We may delete your data from our systems in accordance with our data retention policies and applicable law
  • All provisions of these Terms that by their nature should survive termination — including intellectual property provisions, warranty disclaimers, limitations of liability, indemnification, and dispute resolution — will survive

TradeMate is not responsible for any consequences arising from the termination of your account, including the loss of access to data, trading signals, or historical analytics.


12. Changes to Terms

TXTech reserves the right to modify these Terms at any time. When we make material changes, we will:

  • Post the updated Terms on the TradeMate website with a new effective date
  • Provide notice through the Service interface or by email to the address associated with your account at least 14 days before changes take effect (except for changes required by law or to address urgent security matters, which may take effect immediately)

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service before the effective date of the changes and may terminate your account as described in Section 11.2.

We encourage you to review these Terms periodically. The current version will always be available at yourtrademate.io/legal/terms.


13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms and any dispute arising out of or related to these Terms or the Service will be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict-of-law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

13.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for claims that qualify for small claims court and injunctive relief to protect intellectual property rights, any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or the relationship between you and TXTech — whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory — will be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are incorporated herein by reference. The arbitration will be conducted in English and will take place in Austin, Texas, or via videoconference at the parties' election.

The arbitrator will have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including whether it is void or voidable. The arbitrator may award any relief that a court of law could award, but only on an individual basis and only to the extent necessary to resolve the individual claim.

The arbitration award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND TXTECH SOLUTIONS EACH AGREE THAT ANY CLAIMS WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE, THEN THE ENTIRETY OF THE ARBITRATION AGREEMENT IN SECTION 13.2 WILL BE NULL AND VOID.

13.4 Jury Trial Waiver

FOR ANY CLAIMS NOT SUBJECT TO ARBITRATION UNDER THESE TERMS, YOU AND TXTECH SOLUTIONS EACH WAIVE ANY RIGHT TO A JURY TRIAL.

13.5 Time Limitation on Claims

Any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose. If not filed within one year, such claim or cause of action is permanently barred, regardless of any statute of limitations to the contrary.


14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy, Risk Disclosure, General Disclaimer, and any other agreements expressly incorporated herein, constitute the entire agreement between you and TXTech with respect to the Service and supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.

14.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

14.3 Waiver

TXTech's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of TXTech to be effective.

14.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without TXTech's prior written consent. TXTech may freely assign these Terms, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of assets.

14.5 Force Majeure

TXTech will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, pandemics, acts of war or terrorism, government actions, labor disputes, power failures, internet disruptions, or failures of third-party service providers.

14.6 No Third-Party Beneficiaries

These Terms are for the sole benefit of you and TXTech and do not create any rights in any third party.


15. Contact Information
