IMPORTANT: Please read this General Disclaimer carefully. It describes material limitations on the nature of TradeMate's services, the reliability of AI-generated content, and TXTech's liability. This disclaimer is incorporated by reference into the TradeMate Terms of Service and applies to all use of the TradeMate platform, website, mobile application, and associated services.


1. No Investment Advice

All content, data, signals, analysis, commentary, recommendations, market insights, educational materials, and other outputs made available through TradeMate — whether generated by artificial intelligence, automated systems, human contributors, or any combination thereof — are provided for informational and educational purposes only.

Nothing on TradeMate constitutes investment advice, financial advice, trading advice, tax advice, accounting advice, legal advice, or any other form of professional advice of any kind. No content on this platform should be interpreted as a recommendation, solicitation, or offer to buy, sell, hold, or otherwise transact in any security, financial instrument, digital asset, commodity, or other investment vehicle.

TradeMate's AI-generated trade signals, market scores, technical analysis outputs, and related content represent the output of automated analytical tools applied to market data. They are not personalized to your individual financial situation, investment objectives, time horizon, tax position, risk tolerance, liquidity needs, or any other personal circumstance. Two users may receive identical signals despite having entirely different financial profiles for which those signals may be appropriate for one and inappropriate for the other.

Do not make any investment or trading decision based solely on information obtained from TradeMate. You should always conduct your own independent research, due diligence, and analysis, and consult a qualified, licensed financial professional who understands your complete financial circumstances before making any investment or trading decision.


2. Not a Broker-Dealer or Registered Investment Advisor

TXTech and TradeMate are not registered with, licensed by, or authorized by any financial regulatory authority in any capacity. Specifically:

  • TradeMate is not a broker-dealer registered with the U.S. Securities and Exchange Commission (SEC) under the Securities Exchange Act of 1934
  • TradeMate is not a member of the Financial Industry Regulatory Authority (FINRA) or any other self-regulatory organization (SRO)
  • TradeMate is not a registered investment advisor (RIA) under the Investment Advisers Act of 1940 or under any state securities law
  • TradeMate is not a commodity trading advisor (CTA) or commodity pool operator (CPO) registered with the Commodity Futures Trading Commission (CFTC) or the National Futures Association (NFA)
  • TradeMate is not a transfer agent, clearing firm, custodian, exchange, or any other type of regulated financial services entity

Accordingly, TradeMate:

  • Does not hold, custody, or control any user funds, securities, or other assets
  • Does not execute or place trades on behalf of users
  • Does not manage investment portfolios on behalf of users
  • Does not owe any fiduciary duty to users
  • Is not subject to the regulatory obligations that apply to registered financial professionals, and users do not have the protections that would apply in a regulated advisory or brokerage relationship

3. AI Limitations

3.1 Inherent Limitations of AI Systems

TradeMate's signal generation, market analysis, and analytical commentary are produced in whole or in part by artificial intelligence systems, including machine learning models, large language models, algorithmic trading signal generators, and related AI technologies (collectively, "AI Systems"). Users must be aware of the following inherent limitations of AI Systems when interpreting or acting on any AI-generated content:

3.2 Errors and Inaccuracies

AI Systems are not infallible and may produce outputs that are factually incorrect, statistically unsound, based on flawed reasoning, or otherwise erroneous. The fact that an output is generated by an AI system does not mean it is accurate, reliable, or suitable for any particular use. AI Systems operate on the basis of patterns learned from historical data and are subject to the limitations of that training data, including its recency, completeness, accuracy, and representativeness.

3.3 Hallucinations and Confabulation

Generative AI models, including large language models used to produce market commentary, analysis narratives, and signal explanations, may generate content that appears authoritative and coherent but is factually incorrect, internally inconsistent, or entirely fabricated. This is a well-documented phenomenon in the AI field known as "hallucination." Users must independently verify any factual claims, statistics, company information, regulatory citations, or market data contained in AI-generated narratives before relying on them.

3.4 Model Staleness and Knowledge Cutoffs

AI models are trained on data up to a certain point in time and may not reflect the most current market conditions, company fundamentals, regulatory developments, economic events, or other information relevant to trading decisions. An AI model's analysis may be based on outdated information without any indication to the user that relevant new information exists. Users should always verify that AI-generated analysis is consistent with current, real-time information from authoritative sources.

3.5 Distributional Shift and Regime Changes

AI models trained on historical market data may perform poorly when market conditions change materially (a phenomenon known as distributional shift or regime change). A model that demonstrated strong predictive performance under certain market conditions — such as low-volatility, trend-following environments — may perform significantly worse or generate harmful signals under different conditions, such as high-volatility, mean-reverting markets, or crisis environments. There is no guarantee that any AI model's historical performance is predictive of its future performance.

3.6 No Substitute for Human Judgment

AI-generated outputs are tools to assist human decision-making, not to replace it. TradeMate's AI Systems do not possess human judgment, common sense, ethical reasoning, or the ability to fully account for qualitative factors, geopolitical nuance, breaking news, or other contextual information that an experienced human analyst might weigh. Users should treat AI outputs as one input among many and should apply their own critical judgment before acting.

3.7 Independent Verification Required

You should always independently verify any AI-generated signal, recommendation, or analysis before acting on it. Verification should include, at minimum, checking current prices and market conditions, reviewing relevant news and corporate filings, and assessing whether the signal is consistent with your own risk management framework and investment objectives.


4. Market Data

4.1 Data May Be Delayed

Market data displayed within TradeMate — including quotes, prices, volume, open interest, and other market statistics — may be delayed by 15 minutes or more depending on data feed configurations and the terms of our data provider agreements. Delayed data is not suitable for real-time trading decisions. Always confirm current prices and market conditions through your brokerage platform or a real-time data provider before executing any trade.

4.2 No Guarantee of Data Accuracy

TradeMate sources market data from third-party data providers. While we strive to display accurate and current information, TXTech makes no representation or warranty as to the accuracy, completeness, timeliness, or reliability of any market data displayed on the platform. Market data may contain errors, omissions, or discrepancies arising from data feed failures, data vendor errors, transmission issues, or processing errors.

4.3 Data Availability

Market data coverage, depth, and historical availability may vary by instrument type, exchange, and geographic market. TradeMate does not guarantee that data will be available for all instruments or markets you may wish to analyze.

4.4 No Liability for Data Errors

TXTech is not responsible for any trading losses, missed opportunities, or other adverse outcomes arising from errors, omissions, delays, or inaccuracies in market data displayed on the platform. You assume all risk associated with reliance on market data provided by TradeMate.


5. Third-Party Services

5.1 Dependence on Third-Party Providers

TradeMate's features and functionality depend in part on third-party services, including but not limited to:

  • Brokerage integrations: supported third-party brokerage providers (including Interactive Brokers)
  • Market data providers: Including providers of real-time, delayed, and historical market data (e.g., Polygon.io, yfinance, Alpha Vantage, and similar services)
  • AI and compute providers: Including large language model providers and cloud compute infrastructure
  • Payment processing: Dodo Payments
  • Infrastructure and hosting: Including cloud hosting, content delivery, and related services

5.2 No Responsibility for Third-Party Failures

TXTech is not responsible for the availability, accuracy, reliability, performance, or failures of any third-party service. Third-party providers may experience outages, data errors, API changes, service discontinuations, or other issues that affect TradeMate's functionality without warning. Any interruption to third-party services may result in TradeMate features becoming unavailable, degraded, or producing inaccurate outputs.

5.3 Third-Party Terms Apply

Your use of third-party brokerage platforms, data providers, and other services connected to or used in conjunction with TradeMate is subject to the terms of service, privacy policies, and acceptable use policies of those third parties. TXTech is not responsible for your compliance with, or any violation of, third-party terms.

5.4 No Endorsement of Third Parties

The mention of any third-party service, broker, data provider, or other company in connection with TradeMate does not constitute an endorsement, recommendation, or guarantee of that third party's services, reliability, security, or suitability for any purpose. You are responsible for independently evaluating any third-party service you choose to connect to or use with TradeMate.

5.5 API Key Responsibility

If you provide API keys for third-party brokerages or AI providers in connection with your TradeMate account (as required for certain subscription tiers), you are solely responsible for those keys, the costs incurred through their use, and any consequences of their compromise or misuse.

TXTech makes no guarantee, representation, or warranty — express or implied — that use of TradeMate will result in trading profits, positive investment returns, or any particular financial outcome. Trading and investing in financial markets inherently involves the risk of loss, and there is no assurance that any strategy, signal, or analytical approach will be profitable.

7.2 Individual Results Will Vary

Trading results depend on numerous factors outside TradeMate's control, including but not limited to: general market conditions, the specific securities traded, timing of entry and exit, transaction costs and brokerage fees, the amount of capital at risk, applicable leverage, tax treatment, individual discipline and execution, and unpredictable market events. Individual user results will vary widely, and any examples of favorable outcomes presented by TradeMate in marketing materials or educational content are not necessarily representative of typical results.

7.3 Risk of Total Loss

It is possible to lose all capital committed to trading. Users of TradeMate who engage in live trading with their brokerage accounts do so at their own risk and should only commit capital they can afford to lose entirely.

7.4 No Implied Warranty of Fitness

The Service is provided "as is" and "as available." TXTech expressly disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by applicable law. TXTech does not warrant that the Service will meet your requirements, achieve any particular result, or operate without interruption or error.

7.5 Testimonials and Examples

Any testimonials, case studies, hypothetical performance examples, or user success stories presented in connection with TradeMate are provided for illustrative purposes only. They do not represent a guarantee or promise of similar results and may not be representative of the experience of all users.
